Director of Legal Affairs

The Wisconsin Foundation and Alumni Association (WFAA)*, the private fundraising and alumni relations organization for UW-Madison, is recruiting an experienced professional to join our Department of Legal Affairs.  The Director of Legal Affairs is responsible for providing in-house legal counsel on assigned matters to all areas of the Wisconsin Foundation and Alumni Association.

Essential Functions

Legal Affairs

  • Serve as an internal legal resource for WFAA staff.
  • Provide Legal Affairs training and orientation for new and existing staff.
  • Review and approve various legal documents, including, but not limited to, Memoranda of Agreements (Gift Agreements), Confidentiality Agreements, Real Estate documents, Lease agreements and WFAA Contracts.
  • Serve as a resource for the Gift Planning team; review life income gift agreements, proposed estate gift language and draft Charitable Trust documents.
  • Serve as a resource for campus partners, including the UW-Madison Office of Legal Affairs, Wisconsin Alumni Research Foundation, D2P and other important campus entities.
  • Work with the Director of Legal Affairs and Human Resources to ensure WFAA remains in HIPPA compliance.
  • Serve as a resource for potential donors who are exploring complex gift arrangements involving the Offices of Gift Planning and Legal Affairs.  Engage with professional advisors, including attorneys, accountants and financial planners, as needed, to present legal and financial information for clients.
  • Help manage the Foundation’s real estate gift portfolio, life insurance gift program and general insurance programs (Directors & Officers, General Liability, Property, Automobile, etc.).
  • As needed, in coordination with the Director of Legal Affairs, visit with potential donors or advisors concerning complex gift transactions.

Campus Relations

  • Communicate, problem solve and anticipate needs of campus staff regarding the use and accounting of donor-created funds.
  • Request data/reports from WFAA staff to meet needs of donors and campus staff.
  • Serve as WFAA liaison (as needed) with various college and school programs, UW Alumni Association, other UW entities and friends/booster groups.

Administrative

  • Work with appropriate staff to make travel arrangements.
  • Work with WFAA personnel on legal review of materials needed for promotional brochures, invitations, announcements and other written material.
  • Report/record/document development activity and results.
  • Construct Memoranda of Agreement (MOA’s) as needed in gift situations and review with the Director of Legal Affairs.

General

  • Understand and access resources within WFAA to support the fund development process, e.g., research, gift planning, real estate, accounting, investments.
  • Attend WFAA and college/school/program meetings for development staff.
  • Become an active member of the Wisconsin Planned Giving Council and engage with the local gift planning and/or estate planning community as much as possible.
  • Establish and maintain effective working relationships with colleagues, deans, campus staff, donors, volunteers and others.
  • Continually acquire and utilize professional knowledge/skill/ability and share that expertise with others in the organization.

Qualifications:

  • Law Degree (J.D.) required in addition to a Bachelor’s Degree.
  • Minimum of five years of related work experience.
  • Member, State Bar of Wisconsin preferred.
  • High language, high mathematical and high reasoning ability.
  • Ability to use a computer for communicating via e-mail, writing, researching, completing reports, etc.
  • Familiarity with Microsoft Office is required.
  • A high level of skills in working with people is essential to success in this job.
  • Ability to communicate effectively and meaningfully with groups and individuals in diverse settings using a range of techniques including face to face, telephone, email, written correspondence, public speaking and meeting facilitation.
  • Ability to work effectively with other WFAA staff and University Faculty/Staff as a collaborative team member.
  • Ability to plan and prioritize work, using time and other resources effectively to maximize desired outcomes.
  • Must be able to work independently with minimal level of supervision.

Physical Demands Summary: Mostly sitting, requires 20/40 near vision, frequent fine motor movements, and frequent hand/wrist repetitions. The individual must be willing and able to travel in Wisconsin and across the US occasionally by car, plane, cab, and foot (or with assistive device, e.g. wheelchair).
